The Companies Act 2013 has been recently passed in August, 2013 to replace the old Companies Act, 1956. The law passed contains a clause which has made corporate spending on social welfare as mandatory. Corporate Social Responsibility as a concept has really come of age in the last decade. Though there was considerable opposition by the corporate sector and industry chambers against the move, the government decided to go ahead with the proposal anyway. The move by the government has seen its fair share of bouquets as well as brickbats but constructive debate regarding the move has been missing. This paper aims to properly introduce Clause 135 of the Companies Act, 2013 discussing in detail the various arguments in favour as well as against the clause. An attempt has also been made to chart the road ahead for mandatory corporate social responsibility in India.
